Terms of Service

1. Acceptance of Terms

By accessing or using the Ondex application (“App”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to all of these Terms, do not access or use the App.

You must be at least 18 years of age to use the App. By using the App, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

The App is not available in jurisdictions where its use would be prohibited by law. You are responsible for ensuring that your use of the App complies with all applicable laws and regulations in your jurisdiction.

2. Description of Service

Ondex is a self-custodial cryptocurrency wallet application that enables users to interact with the XRP Ledger. The App provides the following features:

• Wallet management (send, receive, and store XRP and XRPL tokens)
• Decentralized exchange (DEX) trading and token swaps
• NFT management and gallery
• Social features (profiles, posts, follows, Ondex Names)
• Encrypted on-chain messaging
• Fiat on-ramp and off-ramp services (via third-party providers)
• Cross-chain bridge (via third-party providers)
• Self-custodial protocol access, including liquidity, lending, vaults, and yield where available
• dApp connectivity via WalletConnect
• News feed and price alerts
• Review of compatible x402 payment requests and, only after express approval, creation of an exact signed XRPL payment authorization

2A. x402 Payment Authorizations

Before approval, Ondex displays the requester or origin, network, asset, amount, destination, fee, and expiry. Approval creates an authorization for that exact transaction; it is not an open or recurring authorization. The authorization may be delivered to the merchant and submitted to XRPL until LastLedgerSequence.

Approval, settlement on XRPL, and delivery of the requested resource are separate states. A merchant response does not guarantee a refund, availability, or quality. Ondex cannot cancel a transaction already validated by XRPL, and no later x402 payment occurs without a new explicit approval.

3. Intellectual Property & Ownership

All intellectual property rights in the App — including but not limited to source code, design, text, graphics, logos, icons, the “Ondex” name and trademark, and all related marks — are and shall remain the exclusive property of Ondex Labs LLC, a Wyoming limited liability company (“Company”). All rights not expressly granted herein are reserved by the Company.

You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, or create derivative works from any part of the App without prior written consent from the Company.

User-generated content (posts, profiles, Ondex Names) remains your property. By posting content through the App, you grant Ondex a non-exclusive, worldwide, royalty-free license to display and distribute such content solely for the purpose of operating the Service.

4. User Responsibilities

You are solely responsible for:

• Maintaining the security of your private keys, PINs, and recovery phrases
• All transactions conducted through your wallet
• Compliance with all applicable laws and regulations in your jurisdiction
• Any content you post through social features
• Ensuring that your device and operating system are kept up to date
• Any tax obligations arising from your use of the App

5. Prohibited Uses

You agree not to use the App to:

• Violate any applicable law, regulation, or third-party right
• Engage in money laundering, terrorist financing, or sanctions evasion
• Transmit malware, viruses, or other harmful code
• Attempt to gain unauthorized access to the App or its systems
• Use the App from a Prohibited Jurisdiction (see our AML Policy)
• Manipulate markets, engage in wash trading, or commit fraud
• Harass, abuse, or harm others through the social features
• Post content that is illegal, harmful, threatening, abusive, defamatory, or promotes violence
• Impersonate other users, entities, or Ondex staff
• Post spam, phishing links, or deceptive content
• Circumvent any security or compliance measures implemented by the App
• Use automated bots, scrapers, or similar tools to access the App

Social content posted through the App may be stored on the XRP Ledger and cannot be erased there by Ondex. Ondex may index, filter, hide from its interfaces, moderate, and suspend display of content or profiles. Those actions do not delete records already present on XRPL. You remain responsible for content you post, and other users may block or mute accounts.

6. Self-Custody Disclaimer

Ondex is a self-custodial wallet. We do not have access to your private keys, recovery phrases, or funds. If you lose access to your wallet credentials, we cannot recover your funds. You acknowledge that you bear full responsibility for safeguarding your credentials and that no third party, including Ondex, can reverse, cancel, or refund any cryptocurrency transaction.

6A. Wallet and Data Deletion

Removing a wallet from a device deletes only local keys and app data selected by the user and requires a backup warning. The separate self-service deletion action removes or anonymizes data controlled by Ondex and revokes applicable service credentials while leaving the local wallet in place. Neither action can erase transactions, public memos, or other data already confirmed on XRPL.

7. Assumption of Risk

You acknowledge and accept the following risks inherent in using cryptocurrency and the App:

• Cryptocurrency prices are highly volatile; you may lose all of your funds
• The XRP Ledger may experience network outages, congestion, or forks
• Smart contracts and decentralized protocols may contain bugs or vulnerabilities
• Regulatory changes may restrict or prohibit the use of cryptocurrency in your jurisdiction
• Transactions on the XRP Ledger are irreversible once confirmed
• Cross-chain bridges and third-party integrations carry additional technical and counterparty risk
• The tax treatment of cryptocurrency varies by jurisdiction and is your sole responsibility
• Past performance of any digital asset is not indicative of future results
• Certain features (including cross-chain bridges, DeFi yield products, and third-party dApp integrations) may be experimental and carry elevated risk; these features may be modified or discontinued without notice

8. No Financial Advice

Nothing in the App constitutes financial, investment, legal, or tax advice. All trading and investment decisions are your own. You should consult qualified professionals before making any financial decisions. Any market data, price information, or news content displayed in the App is provided for informational purposes only.

9. Third-Party Services

The App integrates with or provides access to third-party services, including but not limited to:

• Fiat on-ramp and off-ramp services made available through MELD and the provider selected by the user; that provider's terms, privacy policy, eligibility rules, and KYC/AML process apply.
• Cross-chain services made available through Squid, SwapKit, and their connected protocols; their terms and technical risks apply.
• dApp connectivity through Reown/WalletConnect; the connected dApp's own terms and privacy policy apply.
• Flare and other protocol providers, including third-party vaults and liquidity pools, which involve independent smart-contract and protocol risk.
• x402 merchants, resource servers, and facilitators, which control the requested resource and apply their own terms, availability, and restrictions.
• IPFS gateways, market-data, news, and infrastructure providers used by the requested feature.

These third-party services are governed by their own terms of service and privacy policies. Ondex is not responsible for the availability, accuracy, or security of any third-party service. Your use of third-party services is at your own risk.

When you use fiat on-ramp or off-ramp services, you interact directly with the selected third-party provider through an aggregator interface. The provider’s terms of service, privacy policy, eligibility rules, and KYC/AML requirements apply. Ondex does not receive the identity documents or payment credentials you submit directly to that provider.

Cross-chain bridge transactions are irreversible and subject to the risks of the underlying blockchain protocols. Bridge providers may impose their own geographic restrictions and prohibited jurisdictions.

Ondex is not acting as your financial, legal, or tax advisor. All interactions with third-party services are at your own risk and subject to the terms of the respective service provider.

10. Disclaimer of Warranties

THE APP IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED ACCESS. ONDEX DOES NOT WARRANT THAT THE APP WILL BE ERROR-FREE, SECURE, OR AVAILABLE AT ALL TIMES. ONDEX MAKES NO WARRANTIES REGARDING THE ACCURACY OR COMPLETENESS OF ANY MARKET DATA, PRICING INFORMATION, OR NEWS CONTENT DISPLAYED THROUGH THE APP.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ONDEX LABS LLC, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF CRYPTO ASSETS, LOSS OF DATA, LOSS OF PROFITS, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP.

IN NO EVENT SHALL ONDEX’S TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO ONDEX IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00 USD).

12. Indemnification

You agree to indemnify, defend, and hold harmless Ondex Labs LLC and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with: (a) your use of the App; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; or (d) any content you post through the social features.

13. Dispute Resolution

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to conflict of law principles.

Arbitration: Any dispute arising out of or relating to these Terms or your use of the App shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in English, and the arbitrator’s decision shall be final and binding.

Class Action Waiver: YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

Informal Resolution: Before filing any arbitration, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least thirty (30) days.

14. Termination

We reserve the right to suspend or terminate your access to the App at any time, with or without cause, including but not limited to violation of these Terms, suspected fraudulent activity, or legal requirements. Because Ondex is a self-custodial wallet, termination of access to the App does not affect your ability to access your funds through other means using your private keys.

Sections 3 (Intellectual Property), 6 (Self-Custody Disclaimer), 7 (Assumption of Risk), 10 (Disclaimer of Warranties), 11 (Limitation of Liability), 12 (Indemnification), 13 (Dispute Resolution), and 16 (General Provisions) shall survive any termination of these Terms.

15. Modifications

We may modify these Terms from time to time. Material changes will be presented in the App. Where acceptance or consent is required, Ondex will ask you to review and expressly accept the new version before continuing to use the affected Service.

16. General Provisions

Entire Agreement: These Terms, together with the Privacy Policy, Cookie Policy, and AML Policy, constitute the entire agreement between you and Ondex regarding your use of the App and supersede all prior agreements.

Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Waiver: The failure of Ondex to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Ondex may assign its rights and obligations without restriction.

Force Majeure: Ondex shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to natural disasters, war, terrorism, government actions, network failures, or blockchain network disruptions.

18. Global Compliance Addendum

This addendum is a material part of these Terms and applies to every Ondex feature, including XRPL DEX/AMM access, FAssets, bridges, liquidity, lending, vaults, yield, and any third-party integration.

• Self-custodial technology interface. Ondex provides software and a user interface that helps you prepare transactions that you review and sign. We do not custody your assets, private keys, or recovery phrases, and we do not control the underlying blockchain protocols.
• No exchange, broker, custody, or investment management service. Ondex is not acting as an exchange, broker, dealer, investment adviser, portfolio manager, bank, custodian, money transmitter, or fiat conversion service. Fiat conversion and KYC, where available, are handled by third-party providers.
• Protocol actions are user-initiated. XRPL AMM/DEX transactions, FAssets minting or redemption, bridge transfers, lending, liquidity positions, and vault interactions are executed on third-party protocols, contracts, or provider systems. Ondex is not your counterparty, pool operator, liquidity manager, guarantor, underwriter, or market maker.
• No guaranteed yield. Any APY, yield, reward, fee, price, or risk estimate is informational only and may change, become zero, or become negative. You may lose all assets due to volatility, impermanent loss, slippage, liquidation, smart-contract bugs, bridge failures, oracle failures, depegs, or third-party failure.
• Jurisdiction-based availability. We may hide, restrict, suspend, or discontinue any feature based on your location, citizenship, residence, sanctions status, provider instructions, risk review, or applicable law. You may not use a VPN, proxy, or false information to bypass these controls.
• Your legal and tax responsibility. You must determine whether each asset, protocol, transaction, and feature is lawful for you. Ondex does not make an offer, solicitation, recommendation, or promotion where doing so would be unlawful.
• English version controls. Localized versions are provided for convenience. If a localized version conflicts with the English version of these Terms, the English version controls to the maximum extent permitted by law.

Community safety

Abusive and objectionable content is prohibited. You can report content and block users.

These rules cover posts, comments, profiles, names, media and messages. Ondex does not tolerate harassment, threats, hate, sexual exploitation, pornography, scams or spam. Report content from its menu or a user profile. Our moderators review reports and may hide content or suspend access to social and messaging services. Contact [email protected] for safety concerns. Unblocking does not restore follows or messages sent during the blocked period.

Your content and conversations will be hidden from each other in Ondex. Messages will be disabled. Ondex moderation will receive a private notice. Public blockchain records remain accessible outside Ondex.
